STANDARD TERMS & CONDITIONS1. Status of These TermsThese Terms and Conditions (the "Terms") set out the standard terms on which Prince Prime Properties Ltd ("PPP", "we", "us", "our") offers property sourcing and related services.These Terms:
- are not intended to be signed;
- apply as baseline terms to all investors and clients; and
- are incorporated by reference into any separate written agreement entered into between PPP and a client or investor.Where a client or investor enters into a Specific Agreement with PPP, that agreement shall govern the engagement in accordance with Clause 2 below.2. Contract Hierarchy & PrecedenceWhere PPP and a client or investor enter into a signed agreement (a "Specific Agreement"), the following hierarchy applies:- The Specific Agreement; and
- These Terms.If there is any inconsistency or conflict between these Terms and a Specific Agreement, the Specific Agreement prevails to the extent of that inconsistency only.Where any matter is not expressly dealt with, or is ambiguous, in a Specific Agreement, these Terms shall apply.3. Services OfferedPPP may, at its discretion, provide one or more of the following services.Service Type A – Bespoke Property SearchA tailored property search conducted based on criteria agreed with the client. This service is provided only under a separate Bespoke Property Sourcing Agreement.Service Type B – Specific Advertised DealA sourcing engagement relating to a specific property opportunity advertised or introduced by PPP. This service is provided only under a Specific Advertised Deal Agreement.Service Type C – Joint Venture ArrangementsPPP may, on a case‑by‑case basis and at its sole discretion, enter into joint venture arrangements with investors.Joint Ventures are:
- not offered as a standard service;
- not available to all investors; and
- governed exclusively by a separate Joint Venture Agreement.These Terms apply to Joint Ventures only to the extent expressly incorporated into the relevant Joint Venture Agreement.4. No Financial or Investment AdvicePPP does not provide regulated financial, legal, tax, or investment advice.All projections, figures, yields, returns, or estimates:
- are indicative only;
- based on assumptions and available information at the time; and
- are not guaranteed.Clients and investors must carry out their own due diligence and obtain independent professional advice before proceeding with any transaction.5. Fees & Client MoneyAll fees:
- are payable as set out in the applicable Specific Agreement and/or invoice;
- must be paid in cleared funds; and
- are payable only by the contracting client or investor (no third‑party payments).Where applicable, client funds shall be held in a designated client money account until becoming due in accordance with the Specific Agreement.6. Confidentiality (High‑Level)PPP treats all non‑public deal information as confidential.Detailed confidentiality obligations are set out only in the relevant Specific Agreement and its NDA Schedule.7. AML, KYC & CompliancePPP is required to carry out anti‑money laundering, know‑your‑client, and related compliance checks.Failure or delay in providing requested documentation may:
- delay service delivery;
- result in refusal to proceed; and/or
- result in termination of the engagement without refund, where permitted by the Specific Agreement.8. Liability & RiskPPP is not responsible for:
- market movements;
- lender decisions or valuations;
- planning outcomes;
- operational performance post‑completion; or
- third‑party failures.Nothing in these Terms limits liability where it cannot lawfully be excluded.9. Tenant Find ServicesA fixed proportion of the first 2 months rent is charged as a finder's fee for assured tenants.Management ServicesStandard buy-to-let management taken on a case-by-case basis and charged on a gross percentage or fixed monthly fee basis, agreed individually with each client.Fixed RentLandlords receive a fixed monthly rent amount for the lease period.
